Terms and Conditions of Use
Article 1 – Orders and customer accounts
1.1 - Customer account
To place an order, the Customer is invited to request the creation of an account via the contact page. The Customer must register by completing the form provided during the account creation process and agrees to provide truthful and accurate information regarding their identity and contact details, particularly their email address. The Customer may update this information at any time by logging into their account. They are responsible for keeping the information up to date. Once the account is approved by Kubota, it is created. To access their personal space and order history, the Customer must log in using the username and password provided after registration. These credentials are strictly personal. The Customer agrees not to disclose them. Otherwise, they remain solely responsible for any use made of them. The Customer may request account deletion at any time by accessing the dedicated page or by sending an email to customercare.thales@synneo.fr. This will be processed within a reasonable timeframe. In the event of non-compliance with the general terms of sale and/or use, SYNNEO reserves the right to suspend or even close the customer's account after a notice sent electronically has remained unanswered. Deleting the account, regardless of the reason, will result in the permanent deletion of all personal information of the Customer. Any event of force majeure resulting in site or server malfunction, including interruptions or modifications due to maintenance, shall not engage the Seller's responsibility.
1.2 - Payment Terms
The Customer may place an order on this Site and make payment via: Payment on account within 30 days from the invoice date No payment method data is collected by the Site. Payment is made directly to the bank or payment provider receiving the Customer's payment. Purchase orders and invoices will be archived on a reliable and durable medium that constitutes a true copy. The computerized records will be considered by both parties as proof of communications, orders, payments, and transactions between them.

1.4 - Payment Deadlines
The total price is payable within 30 days from the date of invoice issuance.
Article 2 – Order Confirmation
The Customer acknowledges having read and accepted these General Terms and Conditions of Sale before placing their order. Validating the order implies acceptance of these General Terms and Conditions.
Article 3 – Availability
Product availability is indicated on the Site in each Product's detailed description. If a product becomes unavailable after the order is placed, the Customer will be informed. The order will be automatically canceled, and no charges will be made.
Article 4 – Delivery
4.1 - General Provisions
Products are delivered to the delivery address provided by the Customer during the ordering process, except for delivery restrictions indicated during order validation. The Site only offers deliveries to countries listed on the website; however, orders can be shipped worldwide if the country is listed. For deliveries outside the European Union or to French overseas territories, the Customer declares themselves as the importer of the product and accepts that the Seller may be unable to provide precise information regarding applicable customs duties or import taxes. Unless otherwise indicated, the Seller commits to delivering within thirty (30) days from the conclusion of the contract, provided the products are available.
4.2 - Delivery Times
The delivery time corresponds to the shipping and preparation period indicated in the "delivery" step of the sales process and depends on the delivery option selected by the Customer. Shipments are scheduled for D+1. For deliveries requiring an appointment, the carrier will contact the Customer as soon as possible. The appointment must be scheduled within 30 days of order confirmation. SYNNEO cannot be held responsible for delivery delays due to Customer unavailability despite several appointment proposals.
Article 5 – Errors and Delivery Delays
In case of an error or defective product, it must be returned in full and in perfect condition. If a shipping delay occurs, the Customer will be notified by email, and a new delivery date will be proposed. If delivery exceeds 30 days, the Consumer may terminate the contract under Articles L 216-2 to L 241-1 of the French Consumer Code. A written request with acknowledgment of receipt is required. A credit note will be issued within 30 days. This clause does not apply in cases of force majeure.
Article 6 – Receipt
If the package is damaged or opened, the Customer must immediately report it to the carrier and to SYNNEO. The Customer may refuse a parcel if an issue is noticed. Any anomaly must be clearly noted in handwriting on the carrier's delivery slip and signed by the Customer. The Customer must open the damaged or defective packages in the presence of the carrier and have them returned. Otherwise, the right of refusal may not be exercised.
Article 7 – Transfer of Ownership and Risk
Acceptance of the purchase order by the Seller implies the transfer of ownership and risk to the Customer.
Article 8 – Warranties
8.1 - Product Conformity
In accordance with applicable legal warranties, SYNNEO exchanges products that are defective or do not match the Customer’s order. The Customer must contact the Seller within 7 days. Products must be returned in the condition received, with all accessories and documentation, and properly packaged. Shipping costs will be reimbursed based on the invoiced rate, and return costs will be refunded upon presentation of proof.
Article 9 – Liability
The Seller is only liable in cases of gross negligence, willful misconduct, or fraud. Products comply with current French legislation. It is the Customer’s responsibility to verify the legality of product use or importation in their country of residence.
Article 10 – Intellectual Property
All content on the SYNNEO website is protected by copyright and intellectual property rights. Any reproduction or representation, in whole or in part, is strictly prohibited without prior written authorization. Trademarks and other distinctive signs are also protected and require written permission for any use.
Article 11 – Applicable Law – Disputes – Claims Handling
Applicable law: These terms are governed by French law. The contract language is French. French courts shall have exclusive jurisdiction. Translation: The translated version has no contractual value and is provided for information purposes only. Claims: Contact customer service via the contact page or the details provided at the beginning of this document. Disputes: In case of dispute, the Customer shall first contact SYNNEO for an amicable resolution. Failing this, the courts of NICE shall have exclusive jurisdiction.
